This website (the “Site”) is owned and operated by HARMONIC RESOURCES LLC (“COMPANY” “we” or “us”). By using the Site, you agree to be bound by these Terms of Service and to use the Site in accordance with our Terms of Service and our Privacy Policy. Accessing the Site in any manner constitutes use of the Site and your agreement to be bound by these Terms of Service.

We reserve the right to change these Terms of Service or to impose new conditions of use of the Site. Any changes will be posted on the site. By using this Site you accept any modifications of the Terms of Service.

Intellectual Property Rights

This Site and all the materials available on the Site are the property of us and/or our affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws. The Site is provided solely for educational purposes. You may not use the Site or the materials available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by us. Unless authorized by the owner of the materials, you may not modify, copy, reproduce any material from the Site as your own work.

By posting or submitting any material (including social media posts or any email communication to us), you are stating that you are the owner of the material, or are making your posting or submission with the express consent of the owner of the material. Any conversations in the Circle Platform within the Spiral Program are held in utmost confidence. You agree to two-way confidence if you are a program participant.

You may establish a hypertext link to the Site if the link does not state or imply sponsorship of your site by us or by the Site. You may not (without written permission) frame or inline link any of the content of the Site.

Use of Paid Programs, Workshops, Audio Sessions, and Other Materials

The Company provides various programs, workshops, audio sessions and other associated material for sale on this Website. The Company grants you a limited, personal, non-transferable license to use our courses, programs, and associated material for your personal use.  You acknowledge and agree that you have no right to modify, edit, copy, reproduce or create derivative works of these programs, workshops, and audio sessions.

By ordering or participating these programs, workshops, and audio sessions, you agree that anything you purchase or download may only be used by you for your personal use and may not be sold or redistributed without the written consent of the Company.

By ordering or participating in Courses, you further agree that you shall not create any derivative work based upon the programs and you shall not offer any competing products or services based upon any information contained in the Courses.

Purchases

You agree to financial responsibility for all purchases made by you or someone acting on your behalf through the Site.

Personal Information

To access certain features of the Site, we may ask you to provide certain information including name, location, birth date, and chemotherapy dates. You agree to provide true and accurate information. If we have reasonable grounds to suspect that such information is untrue or inaccurate we have the right to suspend or terminate your account and refuse any and all current or future use of the Site.

Passwords

To participate in Programs and Wokshops, you will be asked to create a username and password via circle.so. We are not liable for any loss or damage arising from your failure to protect your password or account information.

Liability and Limitations

This COMPANY is not liable, under any circumstances (including, but not limited to, negligence) for any direct or indirect damages that result from the use of (or inability to use) this site, its information, or its programs. This includes any communication, messages, social media posts, comments of others, and all services and products made available through this site and its owners. If you are dissatisfied with the site, its information and its products, then you should discontinue use.

This site is always developing and changing and does not claim completeness in any form.

With regard to information relating to health on this site: all information is for educational purposes only. You should not rely on this information as a substitute for medical, psychological, psychiatric, or psychotherapeutic care. Termination

We may cancel or terminate your right to use the Site or any part of the Site at any time without notice. In the event of cancellation or termination, you are no longer authorized to access the part of the Site affected by such cancellation or termination. The restrictions imposed on you with respect to material downloaded from the Site, and the disclaimers and limitations of liabilities set forth in these Terms of Service, shall survive.

Refund Policy

Your purchase of a product or service or ticket to an event may or may not provide for any refund.  Each specific product or program will specify its own refund policy.

Digital Millennium Copyright Act

The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under the U.S. copyright law. If you believe in good faith that materials hosted by COMPANY infringe your copyright, you, or your agent may send to COMPANY a notice requesting that the material be removed or access to it be blocked.

Concluding Legal Remarks

This Agreement shall be binding upon and inure to the benefit of COMPANY and our respective legal representatives. Neither this Agreement nor any rights hereunder may be assigned without the prior written consent of COMPANY Notwithstanding the foregoing, all rights and obligations under this Agreement may be freely assigned by COMPANY to any affiliated entity or any of its wholly owned subsidiaries.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of North Carolina and any dispute shall be subject to binding arbitration in Hillsborough, North Carolina. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

If any clause within these Terms of Service (other than the Class Action Waiver clause above) is found to be illegal or unenforceable, that clause will be severed from these Terms of Service, but the remainder of these Terms of Service will be given full force and effect. If the Class Action Waiver clause is found to be illegal or unenforceable, the Dispute Resolution provision will be unenforceable and the dispute will be decided by a court.
